About these terms

These Terms of Service (“Terms”) govern your access to and use of websites, software platforms, hosted services, demonstrations, pilot programs, advisory services, and other products and services provided by Quantum AI Strategy Group LLC (“QAISG,” “we,” “us,” or “our”).

By accessing or using a QAISG service, you agree to these Terms on behalf of yourself or the organization you represent.

Certain QAISG products or services may be subject to additional product-specific terms, order forms, statements of work, pilot agreements, data-processing agreements, or other written agreements. If there is a conflict between these Terms and a separately executed agreement, the separately executed agreement controls to the extent of that conflict.

Our services

QAISG develops software platforms and provides advisory and professional services focused on artificial intelligence governance, cybersecurity, technology strategy, compliance, emerging technologies, and related areas.

Specific features, capabilities, service levels, usage limits, and commercial terms may vary by product, subscription, pilot, or engagement.

QAISG may add, modify, or discontinue features as its products and services evolve, subject to any commitments contained in an applicable written agreement.

Eligibility and organizational use

QAISG services are primarily intended for businesses, educational institutions, government organizations, and other organizational users.

If you access a QAISG service on behalf of an organization, you represent that you have authority to accept these Terms on its behalf.

Organizations are responsible for ensuring that their use of QAISG services complies with applicable laws, regulations, contractual obligations, employment requirements, privacy requirements, and internal policies.

Acceptable use

You may use QAISG services only for lawful and authorized purposes.

You agree not to:

• Use a QAISG service in violation of applicable law or regulation.
• Collect, monitor, process, or access information for which you do not have appropriate authorization or lawful basis.
• Use QAISG services for unlawful surveillance, discrimination, harassment, or other prohibited activities.
• Attempt to circumvent privacy, security, governance, access-control, or technical safeguards.
• Gain or attempt to gain unauthorized access to QAISG systems, accounts, networks, or customer environments.
• Introduce malicious code, interfere with service availability, or conduct unauthorized vulnerability testing or security testing.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of QAISG software except where such restrictions are prohibited by law.
• Copy, resell, sublicense, or commercially exploit QAISG services except as authorized in writing.
• Misrepresent the source, capabilities, findings, or outputs of a QAISG service in a manner that is unlawful or materially misleading.

QAISG may suspend access where reasonably necessary to protect customers, systems, data, or the security and integrity of its services.

Accounts and access

Some QAISG services require an account or organizational tenant.

Customers and authorized administrators are responsible for:

• Maintaining accurate account information.
• Determining which individuals should have access.
• Assigning appropriate permissions and administrative roles.
• Protecting credentials and authentication mechanisms.
• Promptly removing access when it is no longer required.
• Configuring privacy, security, governance, and policy settings appropriately for their organization and applicable jurisdictions.

You must notify QAISG promptly if you become aware of unauthorized use of an account or other suspected compromise relating to a QAISG service.

Customer responsibilities

Customers remain responsible for the decisions they make using QAISG products, reports, analysis, recommendations, or other outputs.

QAISG services may assist organizations in identifying, analyzing, documenting, or managing technology, security, governance, compliance, or risk-related matters. Unless expressly agreed otherwise in writing, QAISG does not act as the customer’s legal counsel, auditor, regulator, or compliance authority.

Use of a QAISG service does not itself guarantee compliance with any law, regulation, standard, framework, contractual requirement, or organizational policy.

Customers are responsible for independently determining which requirements apply to their organization and for making appropriate governance, security, legal, operational, and business decisions.

Artificial intelligence and automated functionality

Certain QAISG services may include artificial-intelligence-assisted analysis, classification, recommendations, summaries, reports, or other automated functionality.

AI-generated or AI-assisted outputs may contain errors, omissions, or incomplete information and should be evaluated in the context in which they are used.

Customers remain responsible for decisions or actions taken based upon those outputs.

Where specific QAISG products use artificial intelligence, additional information regarding the functionality and applicable data handling may be provided through product documentation or the QAISG Privacy Notice.

Pilots, evaluations, and beta services

QAISG may make products or features available as pilots, evaluations, previews, beta releases, proofs of concept, or early-access offerings.

Such services may:

• Have limited functionality.
• Be subject to usage, user, data, or retention limits.
• Change during the evaluation period.
• Be discontinued or replaced.
• Operate without the service levels or availability commitments associated with a commercial production subscription.

The duration, scope, pricing, and other conditions of a pilot or evaluation may be established separately in writing.

Unless otherwise agreed, participation in a pilot does not obligate either party to enter into a subsequent commercial subscription.

Subscriptions, fees, and commercial terms

Pricing, subscription duration, usage limits, payment terms, renewal provisions, and other commercial terms are established through an applicable order form, proposal, statement of work, subscription agreement, or other written agreement.

Information displayed on a QAISG website regarding pricing, packaging, product availability, or service capabilities is provided for informational purposes unless expressly identified as a binding commercial offer.

Applicable taxes, duties, or similar government assessments are the responsibility of the customer unless otherwise required by law or stated in an applicable agreement.

Customer data

As between QAISG and the customer, the customer retains its rights in information and data it provides to QAISG or that is collected or generated on its behalf through use of a QAISG service (“Customer Data”).

The customer grants QAISG the rights necessary to process Customer Data solely as reasonably required to provide, secure, maintain, support, and improve the applicable service and to fulfill QAISG’s contractual obligations.

QAISG’s processing of personal information is further described in the QAISG Privacy Notice and, where applicable, a data-processing agreement or product-specific privacy documentation.

Customers are responsible for ensuring that they have the rights, permissions, notices, consents, or other lawful authority necessary for Customer Data provided to or processed through QAISG services.

QAISG intellectual property

QAISG and its licensors retain all rights, title, and interest in and to QAISG software, platforms, services, methodologies, architectures, documentation, designs, interfaces, trademarks, trade names, reports, templates, and other intellectual property, except for Customer Data and materials otherwise expressly identified as belonging to the customer.

Access to a QAISG service does not transfer ownership of QAISG intellectual property.

Subject to applicable subscription or contractual terms, QAISG grants authorized users a limited, non-exclusive, non-transferable, and revocable right to use the applicable service for the customer’s internal business purposes.

Feedback

If you provide suggestions, recommendations, enhancement ideas, or other feedback regarding QAISG products or services, QAISG may use that feedback to improve its offerings without restriction or obligation, provided that doing so does not disclose the customer’s confidential information or Customer Data.

Confidentiality

Information exchanged between QAISG and a customer may be subject to confidentiality obligations contained in a nondisclosure agreement, master services agreement, order form, statement of work, or other written agreement.

Where no separate confidentiality agreement exists, each party should use reasonable care to protect non-public information that a reasonable person would understand to be confidential and use such information only for the purposes for which it was provided.

Confidential information does not include information that is publicly available through no breach of an obligation, independently developed without use of the confidential information, or lawfully obtained from another source without confidentiality restrictions.

Third-party services and integrations

QAISG products may integrate with or provide information relating to third-party applications, cloud platforms, security technologies, identity providers, artificial-intelligence services, data sources, or other external systems.

Third-party services are governed by their own terms and privacy practices.

QAISG does not control and is not responsible for changes, outages, actions, omissions, or security practices of third-party services, except to the extent responsibility is expressly accepted by QAISG in a written agreement.

Availability and service changes

QAISG works to maintain reliable services but does not guarantee uninterrupted availability unless specific availability or service-level commitments are established in a separate written agreement.

Services may occasionally be unavailable due to scheduled maintenance, emergency maintenance, technical failures, security events, third-party provider interruptions, or circumstances beyond QAISG’s reasonable control.

Security

QAISG maintains administrative, technical, and organizational safeguards designed to protect its systems and Customer Data.

Customers are responsible for securing their own systems, endpoints, accounts, credentials, networks, and third-party integrations and for using QAISG security features appropriately.

No internet-connected service can be guaranteed to be completely secure, and neither party should represent otherwise.

Suspension and termination

QAISG may suspend or restrict access to a service where reasonably necessary to:

• Address a material breach of these Terms or an applicable agreement.
• Prevent unauthorized or unlawful use.
• Protect the security or integrity of QAISG systems or other customers.
• Respond to a legal or regulatory requirement.
• Address nonpayment where permitted under the applicable commercial agreement.

Subscription termination rights are governed by the applicable order form or other written agreement.

Upon termination, access to applicable services will end and Customer Data will be handled in accordance with the QAISG Privacy Notice, applicable product documentation, and contractual requirements.

Disclaimers

Except as expressly provided in a written agreement and to the maximum extent permitted by applicable law, QAISG services are provided “as is” and “as available.”

QAISG disclaims implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and warranties arising from course of dealing or usage of trade, to the extent such warranties may lawfully be disclaimed.

QAISG does not warrant that its services will identify every security issue, compliance issue, technology risk, AI activity, vulnerability, threat, or other condition that may exist within a customer’s environment.

Limitation of liability

To the maximum extent permitted by applicable law, QAISG will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, goodwill, business opportunities, or data arising from use of a QAISG service.

Where an applicable order form, master agreement, statement of work, pilot agreement, or other written agreement contains specific limitations of liability, those provisions control.

Where no separate limitation has been agreed in writing, QAISG’s aggregate liability arising out of or relating to the applicable service will not exceed the amounts paid or payable to QAISG for that service during the twelve months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

Indemnification

To the extent permitted by law, you agree to indemnify and hold QAISG harmless from third-party claims, liabilities, damages, or expenses arising from your unlawful use of QAISG services, your violation of these Terms, or your processing of information without required authorization or legal authority.

Any additional or reciprocal indemnification obligations will be governed by the applicable written agreement between QAISG and the customer.

Governing law

These Terms are governed by the laws of the State of Alabama, United States, without regard to its conflict-of-laws principles.

Unless otherwise provided in a separate written agreement, disputes arising from these Terms will be resolved in the state or federal courts having jurisdiction in Alabama.

A separately executed customer agreement may establish different governing law, venue, dispute-resolution procedures, or other requirements, in which case that agreement controls.

Changes to these terms

QAISG may update these Terms periodically as its business, products, services, or legal obligations evolve.

Material changes will be reflected in the “Last updated” date above and, where appropriate, communicated to affected customers or account administrators.

Changes will apply prospectively unless otherwise required by law or agreed in writing.

Continued use of QAISG services following the effective date of updated Terms constitutes acceptance of the updated Terms where permitted by applicable law.
